How dormant company deadlines work

Every UK limited company — dormant or trading — has three recurring statutory deadlines. Miss any of them and the consequences range from automatic penalties to compulsory strike-off.

1. Annual accounts (Companies House)

Due 9 months after the end of your accounting reference period. First-year accounts get extra time: the later of 9 months after your first period end or 21 months from incorporation. See our full guide on dormant company filing deadlines for the mechanics.

2. Company tax return (HMRC)

Due 12 months after the end of your accounting period — three months later than your accounts. Many dormant companies don’t need to file a CT600 at all; see do I need a CT600 for a dormant company.

3. Confirmation statement (CS01)

Due every 12 months from incorporation (or from your last confirmation statement). This is separate from accounts and has its own £34 filing fee. Late confirmation statements are now grounds for compulsory strike-off under ECCTA.

Can my deadlines change?

Yes — you can shorten or extend your accounting reference period by filing an AA01 with Companies House. There are strict rules about how often and by how much. Most dormant companies leave their dates alone.
