What is form LL AA02?

Short answer: there is no LLP version of form AA02, and if you're looking for one to file a dormant LLP's accounts, you won't find it.
LL AA02 did exist, but it was never a dormant-accounts form. It was the notice used to tell Companies House that an auditor had been removed from an LLP, and it was withdrawn on 27 July 2021. The Companies House collection of LLP forms lists no AA02 equivalent — there is no short dormant-accounts form for LLPs the way there is for a dormant company limited by shares.
So what does a dormant LLP file?
Its own accounts. A dormant LLP prepares a set of dormant accounts and delivers them like any other LLP accounts. There's no fill-in-the-boxes form standing in for them, so the content has to be right:
- A balance sheet for the period — nil figures for an LLP that has never held anything. No share capital line, because LLPs don't have shares; the equivalent is members' interests.
- The audit-exemption statement, citing section 480 of the Companies Act 2006 as applied to LLPs by the 2008 LLP accounts and audit regulations, relating to dormant LLPs.
- The members' acknowledgement of their responsibilities for accounting records and the preparation of accounts.
- A designated member's signature — LLPs have members, not directors — with those statements printed above it.
No profit and loss account, because a dormant LLP has no transactions to report.
How it gets delivered
Two routes: on paper, or through filing software. Companies House's own online accounts service doesn't handle LLP accounts at all, so for an LLP it really is those two — and the paper route has a deadline of its own. From April 2028, Companies House is closing its own filing route for accounts and moving everything to commercial software, LLP accounts included.
