Does DormantFile support companies limited by guarantee?

Yes — companies limited by guarantee, since August 2026. That covers almost every flat management company and, by law, every RTM company. Add the company by name or number the same way as any other company, and we recognise it automatically from its Companies House record.

The flow knows it's a guarantee company rather than an ordinary one:

  • No share capital field. Guarantee companies don't have shares, so there's nothing to enter — we skip the question rather than ask for a figure that doesn't exist.
  • Both accounts types, correctly tagged. We file dormant accounts when service charges are held away from the company's own books, and micro-entity (FRS 105) accounts when they're not — see is a flat management company dormant? for that test. Either way, the accounts document carries the correct legal form for a company limited by guarantee, not the wording used for an ordinary company.
  • CT600 fully available. Unlike a dormant LLP, a guarantee company is within Corporation Tax scope, so the nil CT600 works exactly as it does for any company — you enter your own UTR and Gateway details; see does a flat management company need a CT600?.
  • Directors sign, as normal. There's no designated-member equivalent here — ordinary directors approve and sign, the same as for any company.

Where we stop, so nobody pays for the wrong thing:

  • Community interest companies stay accounts-only excluded, even ones limited by guarantee. Some CICs use the guarantee structure for the same not-for-distribution reasons an FMC does, but it's community-interest status, not the guarantee form, that keeps their accounts out of reach — no filing software can submit the CIC34 package Companies House requires.   • If the company is also a registered charity, we file the Companies House and HMRC side only — Charity Commission reporting is separate, and outside what we do.
  • Confirmation statements aren't something we file for any company — that's a separate filing you make yourself.
